This Confidentiality Agreement is between Halal Harmony (“the Company”) located at 116 Linthorpe Road, and any individual ("Member") who becomes a registered user of the marriage matching service provided by the Company.
1. Purpose: The Member has engaged the services of the Company for the purpose of utilising its marriage matching service ("Service").
2. Confidential Information: "Confidential Information" shall mean any and all information disclosed by the Company to the Member, whether written, oral, or electronic, that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information shall include, but not be limited to, proprietary algorithms, methodologies, client data, personal information, and any other information related to the Service.
3. Non-Disclosure: The Member agrees not to disclose, reveal, or make use of any Confidential Information obtained from the Company for any purpose other than the intended purpose of receiving the Service. The Member shall use the Confidential Information solely for the purpose of engaging with the Service and shall exercise reasonable care to protect the confidentiality of such information.
4. Exceptions: The obligations set forth in this Agreement shall not apply to any information that: (a) was rightfully in the possession of the Member prior to its disclosure by the Company; (b) is or becomes publicly available through no fault of the Member; (c) is independently developed by the Member without reference to or use of the Confidential Information; or (d) is rightfully obtained by the Member from a third party without breach of any confidentiality obligation.
5. Non-Circumvention: During the term of this Agreement and for a period of one year thereafter, the Member agrees not to circumvent, attempt to circumvent, or directly contact any clients or personnel of the Company for any purpose other than the intended use of the Service, without the express written consent of the Company.
6. Remedies: The Member acknowledges that any unauthorised use or disclosure of Confidential Information may cause irreparable harm to the Company, for which monetary damages may not be a sufficient remedy. Accordingly, the Company shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to enforce the provisions of this Agreement.
7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the UK, without regard to its conflict of laws principles.
8. Entire Agreement: This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings, whether written or oral, relating to such subject matter.
